VEDERE CONDITIONS OF SALE  

General Terms and Conditions  

  1. Supersession of Terms: The terms and conditions of this order/invoice supersede any terms and conditions in any purchase order or document submitted by the ordering party.  
  1. Stock Verification: Verify sufficient stock before fixing, as no guarantee is given for additional orders of the same product to be available or to match in shade or gauge. This applies to ceramics, paving bricks, terracotta, and natural products such as marble and granite.  
  1. Order Verification: Check your order for colour, size, and quality before fixing. Vedere Group accepts no responsibility once tiles have been fixed.  
  1. Product Appearance: Vedere Group cannot guarantee the exact reproduction of appearance and/or colour of the product shown or obtained as a sample. Variation in shade is inherent in all kiln-fired products and natural stones.  
  1. Crazing: All ceramic tiles are subject to crazing, which varies from tile to tile. No tiles are guaranteed against crazing.  
  1. Manufacturer’s Instructions: Goods must be utilized according to the manufacturer's instructions. Vedere Group accepts no responsibility for damage caused by improper use of cleaning products or methods.  
  1. Loss or Damage in Transit: Vedere Group accepts no responsibility for loss or damage in transit. Notify within three days of delivery regarding discrepancies.  
  1. Deposits 
  • Stock Items: 30% of the full purchase price is required at the time of placing orders (excluding slabs) 
  • Special Orders: 50% of the full purchase price is required at the time of placing orders.  
  1. Cancellations: Orders cancelled prior to delivery will incur a 20% cancellation fee.  
  1. Lay-By 
  • 30% deposit of order.  
  • Balance payable 30 days from the order date.  
  • A 20% cancellation fee applies if any part of the order is cancelled or decreased.  
  1. Risk of Stocks: Stocks held on your behalf are at your risk.  
  1. Run of Kiln and Second Quality: Ungraded products are “Run of Kiln,” and “Second Quality” products are subject to variations in colour, cracking, misshapen, or chipping.  
  1. Claims for Credit 
  • Returns must be within 30 days of the invoice.  
  • Product must be in a saleable condition.  
  • Only full boxes will be accepted.  
  • Goods must be current stock and of merchantable quality.  
  • Return of goods must be approved by the supplier or manufacturer.  
  • No credits for "second quality" goods or specially ordered items.  
  • Returns are subject to a 20% handling fee.  
  1. Estimates: Estimates of quantities are offered as a free service. Vedere Group is not responsible for errors in measurements.  
  1. Product Usage: It is the purchaser's duty to buy the correct product for the correct use. Misuse of the product is the purchaser's responsibility.  
  1. Test Reports: Vedere Group will supply test reports on product performance upon request.  
  1. Title Retention: Title of goods does not pass until payment is made in full. Products fixed before payment are personally guaranteed by the purchaser and the property owner.  

Natural Stone Specific Terms  

  1. Variations: Natural stones like marble, travertine, and granite are subject to variations in thickness, colour, grain structure, and veining. These variations, including pitting, fissures, cracks, and veins, are to be expected.  
  1. Limestone and Marble: Limestone capable of taking a polish is commonly referred to as Marble.  
  1. Installation: All natural stone products should be installed by qualified and experienced stonemasons or tilers. Vedere Group is not liable for damage caused by lack of experience.  
  1. Liability Limitation: Vedere Group's liability is limited to the replacement of supplied products and is not liable for any loss or damage caused by defective materials.  
  1. Installation Inspection: Customers should inspect materials for suitability before cutting or installation. No claims can be made after materials have been cut, fixed, or altered.  
  1. Crazing: No tiles or slabs are guaranteed against crazing. Crazing is a traditional hazard of the trade.  
  1. Filled Travertine: Vedere Group does not accept responsibility for any fillings that become dislodged.  
  1. Shipping Delays: Vedere Group shall not be liable for any damages or loss incurred by the customer due to shipping delays.  
  1. Sample Variations: Vedere Group does not accept responsibility for variations between samples and actual stone supplied.  
  1. Post-Installation Changes: Vedere Group is not liable for changes in the physical appearance of the stone after installation.  
  1. Slip/Wear Resistance: No guarantees are given regarding slip or wear resistance.  
  1. Spot Fixing: Spot fixing should be avoided as per Australian Standards (AS 3958.1-2007 Section C).  
  1. Inspection Before Purchase: Customers are recommended to inspect stone prior to purchase.  
  1. Right to Modify Terms: Vedere Group reserves the right to change or modify these terms and conditions without notice.  

Payment Terms  

  1. Title and Risk: Title to and property of the goods pass to the customer only once payment is cleared. Goods are at the customer's risk immediately following loading by Vedere Group staff.  
  1. Payment Methods: Goods must be paid for by cash, bank cheque, or electronic funds transfer. Credit card payments may incur a 2% charge.  
  1. Deposit Requirements 
  • 50% deposit required for order confirmation: 50% for overseas orders.  
  • Payment by irrevocable letter of credits or bank guarantee will be withdrawn within 72 hours of notification.  
  1. Balance Payment Prior to Delivery: Payment of the 50% is required before delivery. 
  1. Invalid Sales: Sales become invalid if payment is not made within 30 days from order confirmation, and deposits will be forfeited 
  1. Pricing and Credits: Prices are subject to change without notice. Vedere Group reserves the right to apply credits to any customer.  

Holding and Delivery of Goods  

  1. Delivery Arrangement: Arrangement for delivery is the customer's responsibility. Vedere Group can provide names of common carriers but does not represent or guarantee these carriers.  
  1. Loading Responsibility: Vedere Group will load material to the weight specified by the carrier but does not determine the safe load capacity of the vehicle.  
  1. Late Collection: Late collection (two weeks after invoice) is subject to storage charges. Vedere Group is entitled to keep the goods for non-payment of late fees.  
  1. Insurance: No insurance coverage is provided for stored goods at Vedere Group premises.  
  1. Uncollected Goods: Goods not collected may be disposed of under applicable laws.  

Return of Stock  

  1. Notification: Return of stock for any damage or nonconformity must be notified within 24 hours of receipt and confirmed in writing within five working days.  
  1. Opened Crates: Returns will not be accepted for opened crates without prior approval.  
  1. Discounts and Rebates: Any claims cannot exceed the actual invoice value of the goods.  
  1. Return Eligibility 
  • Goods must be of current stock and shade.  
  • Goods must be accompanied by the relevant invoice.  
  • Goods must not be marked or damaged.  
  • Returns are subject to a 20% handling charge.  
  1. Ineligible Returns: No returns are accepted on indent orders, goods surplus to requirements, or change of mind.  

  

  

Indent Orders  

  1. Overseas Orders: Allow a minimum of 12-16 weeks for orders from overseas.  
  1. Deposits: A non-refundable 50% deposit is required at the time of order for special orders.  
  1. Payment Upon Arrival: Orders must be paid in full upon arrival in Australia.  
  1. Uncollected Orders: Uncollected orders are subject to storage charges and may be sold if not collected within the agreed time.  
  1. Irrevocable Orders: Indent orders are irrevocable and subject to additional terms.  

Quotation  

  1. Validity: Quotations lapse if not accepted within 30 days.  

Safety  

  1. Silica Safety: Use proper ventilation, dust capture tools, cut with water, and wear appropriate masks when working with products containing silica.  
  1. Crystalline Silica: Refer to relevant safety standards and guidelines for working with crystalline silica.  

Recommended Instructions for Natural Stones  

  1. Green Marble: Use adhesives designed for green marble to prevent warping or other issues.  
  1. Specialist Products: Use specialist grouts and adhesives for natural stone. Vedere Group is not liable for changes in appearance after fixing.  
  1. Avoid Acid Cleaners: Acid or acid-based cleaners should not be applied to any natural stone.  
  1. Use of Dry Treat Products: Vedere Group recommends and stocks Dry Treat products for protecting natural stone.  
  1. No Liability for Advice: Vedere Group is not liable for any advice regarding installation, grouting, or cleaning of natural stones.  

Retention to Title of Goods  

1. Title Retention: Goods remain the property of Vedere Group until the purchase price and other charges are paid in full. Goods must be stored separately and identifiable until payment is made.
